The Business Opportunity is purely optional and IBD is not compelled to bring or sponsor any other IBD. He/She can do so if they wish for their own gain. |

IBD hereby confirms that he/she has entered into this Agreement as an Independent Business Distributor. Nothing in this Agreement shall establish as employment, or any other labour relationship between the IBD and the Company, and nothing shall establish the IBD's position as a partner, procurer, broker, and / or representative of the Company. |
|
When purchasing and selling the Company's products, the IBD shall act as an independent business distributor, acting in his/her own name, at his/her own responsibility and for his/her account and the Company shall not be liable for the same. |
|
IBD hereby agrees to become the Company's IBD s and to participate in its Compensation Plan as chosen by him / her which is understood by him / her in their vernacular language & agree to abide with the same. IBDs will renew their membership annually on or before seven days from the date of expiry. Non-Compliance of the same will be treated as termination of the IBD Agreement. The Company will not be responsible for any acts of the IBD. |

IBD will not use the Company Trade name or trademark except in the advertisement provided to THE IBD by the Company or by the written consent by the Company. IDB is however permitted to promote the same through his / her personal contacts & word of mouth. |
|
The Company shall as and when required at its option and sole discretion amend the Rules, Regulation, Policies & Procedures and Terms & Conditions of this Business Relationship and shall notify any amendments, alterations, deletions or additions by updating in the Rule Book and / or its Website. It is the IBD's responsibility to keep track of the same. |
|
During maintenance or up gradation of the software / website the offline data shall be regarded on the valid and correct data. |

|
| Sales |
|
Every person who desires to enroll as an IBD must ensure that the payment is made directly to the company or deposited to his sponsor or to any person for the purpose of enrolment shall do so entirely at his sole risk and the company shall not incur liability of any of nature for such payments made. |
|
Enrolment as a distributor does not authorize the distributor to collect any money from any person he desires to bring or sponsor as an IBD. The company shall incur no liability for any money so collected. |
|
If the Pin / IBD number is obtained from the PDC / UP line all responsibility arising from the same will be of the concerned PDC / Up line and the company shall incur no liability. |
|
The distributor may in writing exercise the option of availing the facility of utilizing the funds lying balance in the e-wallet. The company shall however not be responsible for any consequences arising from any misuse / mischief / fraud caused by reason of any person having unauthorized access to the e-wallet or negligence in handling the e-wallet. |

Product claim |
|
The Company's Sales Promotion Product Kit, will be delivered ONLY on receipt of the application form, in original and is obtained by IBD for commercial purpose. |
|
Every distributor must within thirty days of generation of IBD number make a written claim with the company for the product opted by him. Subject to availability the company shall give the product to the distributor. Unless the claim is made the company shall incur no liability. |

Payments & Deductions |
|
The Company will make all payments on account of commission and/or incentives through account payee Cheques drawn in favour of The Applicant only or deposit the said amount into the Applicant's Account only after deduction of all applicable fees and statutory requirements as governed by the law of the land. |
|
The distributors may in writing exercise the option of availing the facility of Pay card instead of receiving benefit by Cheque / DD / Pay order. |
|
The Distributor alone shall be responsible for all or any loss, liability or expenses caused by negligence in handling the pay card or any mischief / fraud caused by any third party who may have access to the pay card. |
|
Under the plan there will be one time auto deduction of Rs. 500/- of the old IBDs ( before 6th Nov, 2008) for entry into ILS |
|
There will be an auto deduction from the payout of every distributor of 6% towards software maintenance charges, 1% towards Charity and TDS as appplicable |
|
No TDS Certificate can be issued unless duly self-attested photo copies of the PAN Card, Age proof certificate and Bank Account details are furnished to the company. |

Termination & Jurisdiction |
|
The Company can terminate this relationship with IBD at any time (with assigning any reasons to the Applicant for the same), if the Company is of the opinion that the provisions of the Rules of Conduct are not being followed and /or any anti-Company activities are being carried out. |
|
All disputes are subject to Mumbai Jurisdiction |

| DECLARATION BY APPLICANT |

I, the undersigned, confirm that I have completed 18 yrs of age. I understand that a purchase of promotional product, as listed on the website will make me eligible for a relationship as an Independent Business Distributor with the Company. My IBD relationship cannot be transferred sold, assigned to any person without the prior written consent of the company. I am responsible to pay all my applicable taxes from time to time and the Company will not be held liable for the same. I have no objection and I agree to the Company deducting tax at source from my weekly / monthly accrual cheque as per rates prescribed under the Income Tax Act, 1961 or pay the same as prescribed under any other law for the time being in force or any modification thereof.
I confirm that the information set forth is accurate to the best of my knowledge and belief and have read, understood and hereby agree to the terms and conditions given in this form and those prevalent / updated on the Company's website, a copy of which has been made available to me by my Sponsor. I also confirm and agree to abide by such Terms and Conditions modified or amended by the said Company from time to time. |
